1. Introduction
Terms and Conditions for Content Submission
FH Cinema (F Harmthon Production Sdn. Bhd.)
These Terms and Conditions (“Terms”) govern the submission, acceptance, distribution, exhibition, promotion, and monetization of Content through FH Cinema, a digital content distribution platform operated by F Harmthon Production Sdn. Bhd. (“FH Cinema”, “we”, “us”, or “our”) through the website at fhcinema.com.my (“Website”).
FH Cinema provides a platform for content owners, producers, filmmakers, and authorised distributors to submit, distribute, exhibit, promote, and monetize creative works, including films, short films, documentaries, music videos, and other approved audiovisual Content.
By submitting any Content to FH Cinema, you (“Publisher”) confirm that you have read, understood, and agreed to be bound by these Terms and any applicable policies, guidelines, or requirements published by FH Cinema from time to time.
If you do not agree with any part of these Terms, you must not submit or make any Content available through FH Cinema.
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any matters relating to the submission, distribution, exhibition, promotion, or monetization of Content shall also be subject to all applicable Malaysian laws and regulations.
2. Definitions
“Viewing Slot” refers to a viewing credit allocated under an active Membership plan that allows a Member to select and access eligible Content. Each Viewing Slot used shall provide access to view the selected Content up to three (3) times, subject to the applicable access period and platform rules determined by FH Cinema.
“Membership View” refers to one (1) valid View recorded when a Member uses one (1) available Viewing Slot to select Content. Each Viewing Slot successfully used and validated by the FH Cinema system shall be counted as one (1) separate Membership View for the selected Content.
A Member may view the Content up to three (3) times under the same Viewing Slot. Repeated playback of the Content under the same Viewing Slot shall not generate additional Membership Views.
If multiple Viewing Slots are used to select the same Content, each successfully used and validated Viewing Slot shall be counted as a separate Membership View. For example, if ten (10) Viewing Slots are used to select the same Content, the Content shall receive ten (10) Membership Views, regardless of the number of permitted playbacks under each Viewing Slot.
“Paid Access View” refers to one (1) valid View recorded when a User successfully purchases individual access to Content through Transactional Video on Demand (TVOD), a Sponsored Ticket purchase, or another eligible paid access method approved by FH Cinema.
Each successfully completed and validated purchase shall provide the User with access to view the purchased Content up to three (3) times, subject to the applicable access period and platform rules determined by FH Cinema. Repeated playback under the same purchase shall not generate additional Paid Access Views or additional Revenue Sharing.
3. Eligibility
To access or use FH Cinema, Users must comply with the following eligibility requirements:
Users who are under eighteen (18) years of age may access or use the Services only with the consent and supervision of a parent or legal guardian and subject to any applicable age classifications, content ratings, or access restrictions.
To create a Publisher Account, submit Content, enter into any commercial arrangement, or receive payments from FH Cinema, you must be at least eighteen (18) years of age and have the legal capacity to enter into a binding agreement under the laws of Malaysia.
Where Content is owned by or involves a person under eighteen (18) years of age, the submission must be made or authorised by their parent, legal guardian, or a legally authorised representative who agrees to be responsible for the submission and these Terms.
You agree to provide accurate, complete, and up-to-date information when creating an Account, submitting Content, receiving payments, or using the Website and Services.
Certain Content may be subject to age classifications, content ratings, or access restrictions. Parents and legal guardians are responsible for supervising and monitoring the use of the Services by minors under their care.
FH Cinema reserves the right to verify eligibility and to restrict, suspend, terminate, or refuse access to any User or Publisher who fails to comply with these requirements or provides false, misleading, incomplete, or outdated information.
4. Account and Submission Access
Content may be initially submitted to FH Cinema with or without a registered Account.
However, a valid registered Account may be required before the Content can be fully reviewed, approved, published, monetized, or managed through the Website. FH Cinema may require the person who submitted the Content to create or verify an Account and confirm their identity, authority, ownership, or payment information.
All submitted Content is subject to review and approval by FH Cinema before publication. Submission of Content does not guarantee its acceptance, publication, promotion, distribution, or monetization through FH Cinema.
The Publisher is responsible for ensuring that all information and documentation provided to FH Cinema are accurate, complete, valid, and up to date.
Submitted Content must meet the technical, editorial, legal, and quality requirements established by FH Cinema, including acceptable video quality, audio quality, file integrity, format compatibility, ownership or licensing documentation, and compliance with applicable laws and regulations.
FH Cinema may provide the Publisher with access to reporting information, including Membership Views, Paid Access Views, sales, earnings, and other performance metrics based on records generated by the FH Cinema system.
Reporting information may be subject to verification, correction, adjustment, delays, refunds, chargebacks, invalid Views, or technical errors and shall not constitute a final payment statement until verified by FH Cinema.
FH Cinema reserves the right to reject, suspend, remove, restrict, or refuse the publication or monetization of any Content, or restrict or suspend any Account, where the Content, Account, information, or documentation is false, misleading, inaccurate, incomplete, invalid, or in breach of these Terms, applicable FH Cinema policies, third-party rights, or applicable laws and regulations.
5. Intellectual Property Rights
The Publisher represents and warrants that they are the lawful owner of the Content or have obtained all necessary rights, licences, consents, releases, and permissions required to submit, reproduce, distribute, exhibit, promote, and monetize the Content through FH Cinema.
The Publisher grants FH Cinema a non-exclusive, worldwide, royalty-free licence to host, upload, store, reproduce, encode, transcode, stream, display, distribute, exhibit, promote, and make the Content available to Users through the FH Cinema platform for as long as the Content remains published or otherwise available through FH Cinema.
The term “royalty-free” means that FH Cinema shall not be required to pay any separate licensing fee for exercising the rights granted under this Clause. The Publisher shall remain eligible to receive payments expressly provided under the applicable Revenue Sharing and Membership-Based Viewing Payment terms.
The licence granted to FH Cinema includes the right to use the Content title, synopsis, poster artwork, trailer, excerpts, thumbnails, promotional images, cast and production information, and other related marketing materials solely for the operation, distribution, exhibition, promotion, and marketing of the Content and the FH Cinema platform.
FH Cinema may resize, encode, compress, format, caption, or make reasonable technical modifications to the Content and its promotional materials where necessary for platform compatibility, accessibility, delivery, or promotion, provided that such modifications do not materially alter the original meaning or integrity of the Content.
The Publisher retains ownership of all intellectual property rights in the Content that are lawfully owned by the Publisher. No ownership of the Content shall be transferred to FH Cinema under these Terms.
The Publisher is solely responsible for ensuring that the Content does not infringe any copyright, trademark, intellectual property right, privacy right, publicity right, contractual right, or other right belonging to any third party.
The Publisher shall be responsible for any claims, damages, losses, liabilities, costs, or expenses arising from copyright infringement, the unauthorised use of third-party materials, the absence of required permissions or releases, or any breach of the representations and warranties made under these Terms.
6. Content Withdrawal
The Publisher may request the removal of Content from FH Cinema at any time by providing written notice through email, the platform messaging system, or any other official communication channel accepted by FH Cinema.
FH Cinema may require the Publisher to verify their identity, ownership, authority, or Account information before processing the removal request.
FH Cinema shall make reasonable efforts to remove the Content within a reasonable period after receiving and verifying a valid removal request. The Content may remain available while the request is being processed.
The removal of Content shall not affect any rights, obligations, valid transactions, Membership Views, Paid Access Views, earnings, payments, claims, or liabilities accrued before the effective removal date.
Users who purchased or validly obtained access to the Content before its effective removal may, at FH Cinema’s discretion, continue to access the Content for the remainder of the applicable access period and permitted number of playbacks.
Any outstanding earnings accrued before the effective removal date shall remain subject to the applicable payment terms, minimum payout threshold, verification requirements, refunds, chargebacks, and other adjustments permitted under these Terms.
FH Cinema reserves the right to retain copies of promotional materials, historical records, reporting data, award records, submission information, and transaction records relating to the Content for administrative, legal, accounting, compliance, archival, or reference purposes.
The removal of Content from public access does not require FH Cinema to remove historical award results, official selections, nominations, event records, past promotional publications, or other factual references relating to the Content.
The Publisher acknowledges that Content is made available through FH Cinema on a non-exclusive basis and may also be distributed through other platforms unless otherwise agreed in writing.
7. Revenue Sharing
1. Revenue Sharing Structure
For Content made available on FH Cinema through Transactional Video on Demand (TVOD), Sponsored Ticket purchases, or other eligible paid access methods, Net Revenue shall be distributed as follows:
- 70% to the Publisher
- 30% to FH Cinema
“Net Revenue” means the gross amount actually received by FH Cinema after the deduction of applicable payment gateway fees, transaction charges, taxes, currency conversion fees (where applicable), refunds, chargebacks, and any other mandatory third-party costs directly associated with the relevant transaction.
The Publisher’s entitlement under this Clause applies only to valid Paid Access Views and shall not be combined with or duplicated under the Membership-Based Viewing Payment described in Clause 2.
2. Membership-Based Viewing Payment
For Content accessed through an FH Cinema Membership plan, Publishers may receive payment based on the official duration of the Content and the number of valid Membership Views recorded, according to the following rates:
- 3–9 minutes: RM0.01 per valid Membership View
- 10–30 minutes: RM0.05 per valid Membership View
- 31–50 minutes: RM0.10 per valid Membership View
- 51–80 minutes: RM0.20 per valid Membership View
- More than 80 minutes: RM0.30 per valid Membership View
Content with an official duration of less than three (3) minutes shall not be eligible for payment under this Clause unless otherwise approved by FH Cinema.
The applicable payment rate shall be determined based on the official duration of the Content as recorded and classified by FH Cinema.
Payments under this Clause apply only to valid Membership Views and shall not be combined with or duplicated under the Revenue Sharing Structure described in Clause 1.
FH Cinema reserves the right, at its sole discretion, to modify payment rates, revise payment tiers, introduce promotional rates, negotiate custom commercial arrangements, or establish special revenue models for selected Publishers, Content, strategic partnerships, campaigns, or events, based on business sustainability, platform performance, commercial strategy, or market conditions.
3. Definition of Membership View and Paid Access View
3.1 Membership View
- A “Membership View” is recorded when an active FH Cinema Member uses one (1) available viewing slot to select and access Content through an FH Cinema Membership plan.
- Each viewing slot used to select Content shall constitute one (1) valid Membership View for that Content once the slot allocation has been successfully recorded and validated by the FH Cinema system.
- Each viewing slot shall be counted separately. If a Member uses multiple viewing slots to select the same Content, each viewing slot used shall constitute a separate Membership View for that Content. For example, if ten (10) viewing slots are used to select the same Content, the Content shall receive ten (10) Membership Views.
- Membership Views shall be eligible for payment only under Clause 2.
3.2 Paid Access View
- A “Paid Access View” is recorded when a customer successfully purchases individual access to Content through TVOD, a Sponsored Ticket purchase, or any other eligible paid access method approved by FH Cinema.
- Each successfully completed and validated purchase of individual access to the Content shall constitute one (1) valid Paid Access View.
- Paid Access Views shall be eligible for Revenue Sharing only under Clause 1.
4. Eligibility for Payment
- FH Cinema reserves the right to assess the validity of all recorded Membership Views and Paid Access Views and to exclude any Views deemed invalid, abnormal, fraudulent, automated, manipulated, or generated through prohibited activities.
- A viewing slot successfully used by an active Member to select Content and validated by the FH Cinema system shall qualify as one (1) valid Membership View. Each valid Membership View shall be eligible for payment under Clause 2.
- Any unused, unsuccessful, unrecorded, invalid, cancelled, or reversed viewing slot allocation shall not qualify as a valid Membership View or be eligible for payment.
- A successfully completed purchase of individual access to Content, recorded and validated by the FH Cinema system, shall qualify as one (1) valid Paid Access View. Each valid Paid Access View shall be eligible for Revenue Sharing under Clause 1.
- Any attempted payment, incomplete transaction, cancelled transaction, refunded transaction, chargeback, fraudulent transaction, or unauthorised purchase shall not qualify as a valid Paid Access View or be eligible for Revenue Sharing.
- FH Cinema’s determination regarding the validity and classification of any Membership View, Paid Access View, or transaction shall be final and binding, except in the case of a manifest system or calculation error.
5. Payment Terms
Payments to the Publisher shall be subject to the following conditions:
- Payments will normally be processed every two (2) weeks.
- The minimum payout threshold shall be RM100.
- Payments shall be made by bank transfer or through any other payment method determined by FH Cinema.
- The Publisher must provide complete and accurate payment, banking, tax, and identification information.
- FH Cinema reserves the right to require additional identity, ownership, banking, or account verification before releasing any payment.
- Any unpaid balance below the minimum payout threshold shall be carried forward to the next payment cycle.
Processing periods may vary due to weekends, public holidays, banking delays, verification requirements, technical issues, disputes, or other circumstances beyond FH Cinema’s reasonable control.
FH Cinema reserves the right to delay, withhold, suspend, reverse, or adjust payments in cases involving suspected fraudulent activity, refunds, chargebacks, calculation errors, policy violations, disputes, inaccurate information, or breaches of these Terms.
6. Rights of FH Cinema
FH Cinema reserves the right to:
- Determine the classification of Content based on its duration, format, structure, eligibility, and overall quality.
- Determine whether a recorded access, allocation, purchase, or transaction constitutes a valid Membership View or Paid Access View.
- Verify, validate, and audit all Views and transactions recorded through the platform.
- Exclude, adjust, reverse, or remove any Views or transactions deemed invalid, abnormal, fraudulent, automated, duplicated, or manipulated.
- Correct any technical, reporting, classification, or calculation error.
- Amend the revenue-sharing structure, payment rates, transaction charges, payout requirements, or eligibility criteria at any time by providing reasonable notice.
- Suspend, remove, or restrict any Content or Publisher account found to be in breach of these Terms, platform policies, third-party rights, or applicable laws.
- Interpret these Terms and resolve disputes relating to revenue calculations, View validation, Content classification, or payment eligibility.
7. Affiliate & Referral Programme

FH Cinema may operate an Affiliate or Referral Programme specifically for eligible livestream ticket sales.
Eligible Affiliates may receive commissions based on successfully completed and validated livestream ticket purchases generated through their official referral links.
FH Cinema reserves the right to determine commission rates, eligibility requirements, attribution methods, payment schedules, payout thresholds, and programme terms. FH Cinema may amend, suspend, or discontinue the programme at any time.
Affiliate commissions shall apply only to eligible livestream ticket purchases and shall not apply to:
- Membership View allocations;
- TVOD purchases;
- Sponsored Ticket purchases for individual Content;
- Publisher revenue-sharing payments; or
- Any other product or service unless expressly specified by FH Cinema.
Commissions shall not be payable for cancelled, refunded, fraudulent, self-generated, duplicated, disputed, or charged-back transactions.
8. Indemnification
The Publisher agrees to indemnify, defend, and hold harmless FH Cinema, F Harmthon Production Sdn. Bhd., and their respective directors, officers, employees, representatives, service providers, business partners, and related companies from and against any claims, actions, proceedings, damages, losses, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Any breach of these Terms by the Publisher;
- Any Content submitted, uploaded, supplied, distributed, exhibited, promoted, or made available by the Publisher through FH Cinema;
- Any infringement or alleged infringement of copyright, trademark, intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights belonging to a third party;
- Any unauthorised use of music, footage, images, performances, personal information, trademarks, or other third-party materials contained in or associated with the Content;
- Any failure to obtain the licences, permissions, consents, clearances, or releases required for the Content;
- Any violation of applicable laws or regulations by the Publisher or the submitted Content; or
- Any false, misleading, inaccurate, incomplete, or fraudulent information or documentation provided by the Publisher.
FH Cinema shall provide the Publisher with reasonable notice of any claim for which indemnification is sought, where reasonably practicable. The Publisher shall reasonably cooperate with FH Cinema in the investigation, defence, or settlement of the claim.
The Publisher shall not enter into any settlement that imposes liability, obligations, restrictions, or an admission of wrongdoing upon FH Cinema without FH Cinema’s prior written consent.
The indemnification obligations under this Clause shall survive the rejection or removal of Content, suspension or termination of an Account, withdrawal of the Publisher, or termination of these Terms.
9. Termination
FH Cinema reserves the right, at its sole discretion, to reject, suspend, restrict, remove, disable, or refuse the publication, distribution, promotion, or monetization of any Content, including Content that:
- Violates these Terms or any applicable FH Cinema policy;
- Infringes or is alleged to infringe any copyright, trademark, intellectual property right, privacy right, publicity right, contractual right, or other third-party right;
- Contains unlawful, fraudulent, misleading, defamatory, obscene, harmful, abusive, or otherwise inappropriate material;
- Contains malicious software, corrupted files, harmful code, or material that may compromise the security or operation of the Website or Services; or
- May expose FH Cinema, its Users, or its business partners to legal liability, regulatory action, reputational harm, security threats, or operational risk.
FH Cinema may suspend, restrict, terminate, or permanently revoke a Publisher’s Account or access to the platform if the Publisher breaches these Terms, provides false or fraudulent information, engages in prohibited or fraudulent activity, repeatedly violates FH Cinema policies, or undertakes any activity that may adversely affect FH Cinema, its Users, Content owners, business partners, or Services.
Where reasonably practicable, FH Cinema may provide notice of the suspension, removal, restriction, or termination. However, FH Cinema may take immediate action without prior notice where necessary to address suspected fraud, unlawful Content, infringement claims, security threats, regulatory requirements, harm to Users, or other urgent risks.
Termination or suspension shall not automatically cancel valid earnings accrued before the effective termination date. Such earnings shall remain subject to verification, the minimum payout threshold, refunds, chargebacks, payment disputes, infringement claims, fraud investigations, withholding rights, and any other adjustments permitted under these Terms.
FH Cinema shall not be liable for any loss of anticipated revenue, profits, opportunities, audience reach, reputation, or other indirect or consequential loss resulting from any rejection, suspension, removal, restriction, or termination carried out in accordance with these Terms.
Any provision which, by its nature, is intended to survive termination—including provisions relating to accrued Payment Obligations, ownership of Intellectual Property Rights, retained records, Indemnification, Limitation of Liability, dispute resolution, and Governing Law—shall remain in effect after termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia.
Before commencing legal proceedings, the parties shall use reasonable efforts to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the submitted Content, payments, or the use of FH Cinema’s Services through good-faith discussions.
If the dispute cannot be resolved through such discussions, it shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Sabah, Malaysia.
Each party irrevocably submits to the jurisdiction of such courts and waives any objection relating to jurisdiction or venue, to the extent permitted by applicable law.
Nothing in this Clause shall prevent FH Cinema from seeking urgent interim, injunctive, or protective relief from a court of competent jurisdiction where necessary to protect its rights, Content, systems, Users, or intellectual property.
11. Amendment of Terms
FH Cinema reserves the right to amend, modify, update, or replace these Terms from time to time to reflect changes in its Services, business operations, payment structures, policies, technology, legal requirements, or market conditions.
Any material changes may be communicated through the Website, the Publisher’s registered email address, Account notification, or any other official communication channel considered appropriate by FH Cinema.
Unless otherwise stated, updated Terms shall take effect from the date they are published on the Website or from any later effective date specified by FH Cinema.
The continued submission, publication, distribution, or monetization of Content, or continued use of the Website or Services after the updated Terms take effect, shall constitute acceptance of the revised Terms.
If the Publisher does not agree with the revised Terms, the Publisher may discontinue the use of the Services and request the withdrawal of their Content in accordance with the Content Withdrawal provisions.
Unless required by law, necessary to correct an error, or otherwise expressly stated, amendments shall not retroactively reduce valid earnings accrued before the effective date of the updated Terms.
FH Cinema may implement changes immediately where reasonably necessary to comply with applicable laws, regulatory requirements, security obligations, payment-provider requirements, or to prevent fraud, misuse, or harm to the Website, Services, FH Cinema, or its Users.
The Publisher is responsible for reviewing these Terms periodically and maintaining accurate and up-to-date contact information associated with their Account.
